About the role & where you'll be working


The Company Secretary and General Counsel role has a comprehensive understanding of efficient and effective planning as well as organisation and support of the activities of the Board of Directors.

This role is responsible for the delivery of all in house legal services either through provision of legal advice or through partnerships with specialist legal entities.

You will work closely with the Board and its Chair to ensure the legal obligations of SCC WA and related entities under the Associations Incorporation Act 2015 (WA), the Corporations Act 2001 (Cth), the Constitution and other relevant legislation are complied with.

You will assist the Board to comply with their duties under the Constitution and relevant legislation and support the effective operation of the Board and its sub committees to build and maintain best practice.

This role reports to the CEO and is located in our central office in Rivervale. This position offers a flexible working environment with a mix of working from home and the office.

This is a part time role working 22.8 hours a week.


Your duties will include:


  • Undertaking the company secretarial activities and record management required for SCC(WA) to meet its statutory responsibilities and supporting the Board in meeting their obligations as directors
  • Overseeing Board recruitment, on boarding and induction
  • Managing Board and functional corporate documentation to ensure it remains current, fit for purpose, and compliant with relevant regulations or legislation
  • Working closely with our Finance Team and External Auditors in the preparation of the annual Director's Report and Corporate Governance Statement
  • Translating difficult concepts into simple language and balancing the interests of SCC(WA) entities' governing committees and their members
  • Delivering against information requests for company secretarial records from the External Auditors and Regulators
  • Coordinating Board and Board Committee papers and AGM papers
  • Attending Board, Governance Committee and AGM meetings and reviewing the minutes
  • Overseeing and reviewing corporate governance policies procedures and practices

About you

  • Minimum 3 years demonstrated relevant experience as a Company Secretary and/or General Counsel
  • Admitted as a Legal Practitioner in Western Australia.
  • Sound experience in providing legal advice including
  • Degree in Law or Juris Doctor
