Who we're looking for:


To be successful in this role, you will be an experienced manager of Board and Executive Leadership Team stakeholders, with exceptional attention to detail and a keen desire to develop and lead a high performing company secretariat function in a fast paced, dynamic environment.


What you'll be doing:


The Head of Corporate Governance/Deputy Company Secretary leads the company secretariat function which is responsible for managing corporate governance for the Virgin Australia Group.

Reporting to the Chief Legal and Risk Officer (CLRO), you will be responsible for the day-to-day operations of the company secretariat and for providing strategic direction in relation to the Group's corporate governance frameworks, practices and processes.


In this role, you will be required to manage the Group's Board and Committee processes, including organising meetings, taking and distributing meeting minutes, coordinating the distribution of Board papers and maintaining and enhancing the Group's Board and Committee charters and policies.

Working closely with the CLRO, you will be a key point of contact for Directors and Committee members and senior internal stakeholders with a solutions focused approach to resolving issues as they arise.

You will also be responsible for actively monitoring developments and emerging governance issues relevant to the Virgin Australia business and driving initiatives to uplift existing corporate governance policies and processes to ensure they reflect current legal requirements and stakeholder expectations.


You will have a strong understanding of the _Corporations Act _as it pertains to corporate governance and the Listing Rules of the Australian Securities Exchange.


You'll be great in this role if you:

  • Have 10 years' experience in similar role, or similar experience in a listed company environment
  • Possess a strong knowledge of corporate governance practices, the Corporations Act, ASX Listing Rules and continuous disclosure requirements
  • Come with sound project management, organisational, analytical and problemsolving skills
  • Have the ability to treat sensitive matters with tact and appropriate confidentiality
  • Have a high level of attention to detail and excellent oral and written communication skills
  • Have experience working with a team and senior stakeholders in a facepaced, dynamic environment
  • Have a proven ability to prioritise, multitask and work under pressure within the context of tight and, at times, competing deadlines
  • Have integrity and strong interpersonal and relationship skills
  • Show initiative to progress a wide and varied workload including preparedness to assist with basic tasks where necessary
  • Are a calm, pragmatic and collaborative team member
  • Enjoy liaising with senior executives and Directors
