  • Execution of Company Secretary duties as mandated by the Corporations Act.
  • Ensure adherence to corporate governance and legal responsibilities for different entities under the Group.
  • Ensure smooth functioning of the Boards.
  • Prepare Board and committee meeting materials for all entities.
  • Maintain company registers, meeting minutes and upkeep corporate documentation.
  • Fulfill ad hoc corporate governance and reporting obligations for the entities as required.
  • Ensure compliance obligations are fulfilled and the board's expectations met. Requirements:
  • 5+ years of experience as a Company Secretary or equivalent.
  • Energetic, flexible, collaborative and tenacious who can hit the ground running.
  • Understanding of corporate governance structures, accountabilities, concepts, policies, tools and templates, most of which are based on legal and regulatory requirements of large, listed financial institutions in Australia.
  • Solid knowledge of the Corporations Act and Corporation Law.
  • Outstanding communication and stakeholder management skills for navigating intricate discussions.
  • Legal qualifications are highly desirable.
