The main objective of this position is to collaborate with the Group Company Secretary and the Deputy Group Company Secretary to uphold and enhance organizational governance.

This involves furnishing secretarial assistance and offering corporate governance counsel to the companies within AAL, associated entities, and requested Management Committees, ensuring adherence to statutory requirements.


You'll be responsible for

  • Collaborating with the Group Company Secretary to provide exceptional governance guidance to Allianz Australia's consortium of companies, Management Committees, and other entities as needed. This includes advising directors and officers on company constitutions, laws, duties, obligations, and pertinent prudential standards.
  • Assisting in managing the corporate secretarial compliance for a variety of unlisted public and private companies within a designated portfolio, taking both proactive and reactive measures. This includes finalizing documentation, submitting forms/notifications to ASIC and other regulatory authorities, and keeping statutory registers up to date.
  • Supporting the smooth operation of board and senior management meetings as necessary. Responsibilities include preparing agendas, compiling and drafting board papers, coordinating attendees and presenters, and drafting and circulating meeting minutes.

  • Ensuring the timely approval and submission of financial accounts to the relevant authority while also aiding in the identification and resolution of conflicts of interest. Spearhead efforts to improve service levels and efficiency within the Company Secretariat team, focusing on optimizing systems such as Diligent and Board Vantage. Additionally, contribute to the development and implementation of risk and governance frameworks for the team.

About you

  • Completed Graduate Diploma in Applied Corporate Governance.
  • Significant practical experience with corporate secretarial duties and ASIC compliance.
  • Demonstrated ability to partner and collaborate effectively with senior stakeholders to establish strong professional relationships and influence outcomes.
  • Excellent verbal and written communication skills, capable of communicating with audiences at all levels with clarity, impact and influence.
  • Demonstrates a keen eye for detail, consistently completing tasks meticulously and accurately while swiftly identifying any errors or inconsistencies within information. Possesses the capability to plan and prioritize effectively, adeptly organizing tasks and managing competing resources and demands.
