We represent a major charitable organisation.

They currently have a need for a highly impressive Company Secretary to work on a permanent basis.


Position Description


The Company Secretary is responsible for providing governance expertise to the Board, CEO, and Executive team, and plays an important role in supporting the effectiveness of the Board and Committees.


Key aspects of the role include:

  • Advising the board on good practice in corporate governance (e.g. giving guidance on the legal implications of the way it discharges its duties, runs meetings, and makes decisions).
  • Counselling the board on standards of ethical and corporate behaviour.
  • Ensuring the board has the information it needs to make informed decisions (for the business judgment rule defence).
  • Being involved in risk management and corporate responsibility matters.

Requirements:


  • Undergraduate qualification in Business, Law, or Commerce.
  • Postgraduate Company Secretary qualification and professional standing.
  • Minimum 5 years' company secretarial experience working with Boards in large organisations.
  • Strong governance acumen with experience performing effectively with mínimal supervision.
  • Demonstrated compassion, empathy, and an ability to build meaningful relationships.
  • Demonstrated ability to make good decisions with consideration for commercial outcomes, customer experience, and risk mitigation.
  • Experience in leading and motivating teams, managing performance and employee wellbeing, and delivering on accountabilities.
  • Excellent verbal and written communication skills.
