A law degree and Graduate Diploma of Applied Corporate Governance (GIA) are essential.

Our Group Secretariat team are dedicated people who provide corporate governance advice and corporate secretariat services to the Commonwealth Bank's (
CBA ) wholly owned onshore and offshore subsidiaries, including their Boards of Directors and Committees.
Do work that matters
- Advising in relation to corporate filings, the maintenance of corporate registers and other statutory records including the CBA Group's entity management system, Diligent Entities.
- Providing advice on CBA's governance policies and procedures and compliance issues to assist Directors, Management and the Company Secretaries in the discharge of their statutory duties and internal governance obligations.
- Advising in relation to corporate governance practices and providing (nonlegal) advice regarding relevant aspects of the Corporations Act, APRA Prudential Standards and ASIC policy.
- Developing and maintaining internal policies, procedure manuals and templates in pursuit of best corporate governance practices.
- Developing and maintaining effective stakeholder relationships by being a trusted and valued adviser for the Company Secretaries and the broader business stakeholder group.
- Assist in the smooth running of Board/Committee meetings and decisionmaking by advising on agendas, papers, minutes and governance documents and processes including but not limited to Constitutions, Charters and Board Performance Evaluations.
- Supporting the testing and performance of risk controls mapped to the Group Secretariat team.
- Assisting in the delivery of governance projects for the benefit of the Group Secretariat team and / or broader CBA Group.

A law degree and Graduate Diploma of Applied Corporate Governance (GIA) are essential
:
- A minimum of five years' experience in a governance role, a combined governance and legal role or a private practice legal role specialising in advising on governance matters and corporate advisory.
- Strong organisational skills including the ability to prioritise heavy workloads, meet deadlines, work collaboratively as part of a team but also work autonomously in accordance with prescribed policies and processes, and have a high degree of professionalism.
- Highly motivated with a personal commitment to exceptional service and proactive, efficient and confident.
