The opportunity
We are seeking an experienced Assistant Company Secretary to provide secretariat support to UniSuper directors, and relevant Board sub-committees.

Working as part of the Company Secretariat team, this will include responsibility for:


  • Ensuring that all UniSuper meetings attended by Board members are well organised, run smoothly and are supported by timely papers which have been prepared collated and distributed in line with UniSuper's protocols and style, and recorded in wellprepared minutes in line with best practice
  • Ensuring that responsible persons are aware of, and properly manage, their governance obligations including in relation to conflicts of interest and to be fitandproper persons and in relation to FAR
  • Supporting Board and Consultative Committee elections, including the nomination, election and appointment processes
  • Induction and ongoing education of directors and Committee members
  • Preparing circular resolutions and papers, and reviewing Board and Committee papers
  • Understanding and preempting legislative change and requirements impacting governance responsibilities
  • Maintaining various Company registers
- maintaining various Company Policies and processes

  • Meeting or supporting reporting and public disclosure obligations
  • Meeting the Corporations Act obligations of a Company Secretary

About you
You will have strong company secretarial experience, preferably in an APRA regulated entity.

Additionally, you will be degree qualified (ideally Law Degree), possess excellent organisational and time management skills as well as high quality communication skills, both written and verbal.

Note that this role has been designated as a responsible person role under SPS 520 and will require:

  • Ongoing compliance with UniSuper Limited's Responsible Person policy and the Group Conflicts Management Policy
  • A minimum of 10 hours training to be undertaken each year
  • Ongoing disclosure of your relevant duties and relevant interests which will be published on UniSuper's public website
