We're looking for a skilled and dedicated individual to join our Sydney based team as an Assistant Company Secretary on a 2-3 day-a-week basis.


As the Assistant Company Secretary at Euc, you will work closely with the Eucalyptus' Australian in-house legal team to support our Executive and Board in its corporate governance, shareholder communications and internal quality requirements. Reporting directly to the Head of Legal, the Assistant Company Secretary will play a crucial role in ensuring compliance with regulatory requirements, managing corporate governance processes, and supporting the smooth operation of the company's board and committee meetings.

This role requires high professionalism, attention to detail, and the ability to handle confidential information.


Key Responsibilities:

Supporting the Legal function

  • Work closely (23 days per week) with our inhouse legal team on their advice, legal operations, and strategy work with other teams within Eucalyptus.
  • Research, draft and advise on legal issues that arise with our day to day business operations;
  • Review, draft and develop contracts, from advisor agreements, NDAs, collaboration agreements, supplier agreements and other commercial legal docs;
  • Draft research commentaries and contribute to consolidating knowledge bites to our growing legal advice library on new areas;
  • Take initiative in improving how we work and experiment with new approaches.
  • Be willing to do what's needed to support your team in legal and Euc generally, and have fun doing it

Compliance and Corporate Governance:


  • Work closely with our inhouse legal, payroll, people and finance teams to support the company in its corporate governance and record management functions.
  • Assist in ensuring compliance with ASIC regulations, company law, and other relevant legislation.
  • Maintain a comprehensive understanding of regulatory requirements and updates affecting the company.
  • Assist in preparing and filing statutory returns and documents, including annual reports, notices, and disclosures.
  • Support the implementation and maintenance of corporate governance frameworks and policies.
  • Keep uptodate records of board and committee meetings, including minutes and resolutions.

Board and Committee Support:


  • Assist in preparing and distributing board and committee meeting agendas, packs, and related materials.
  • Coordinate logistics for meetings, including scheduling, venue booking, and travel arrangements if required.
  • Be across our reporting obligations under Eucalyptus' Shareholder Deed, Constitution and the Australian Corporations Act.
  • Attend board and committee meetings, take accurate minutes, and draft resolutions for review and approval.
  • Ensure compliance with meeting protocols, including the circulation of meeting materials in a timely manner.
  • Follow up on action items and ensure the timely completion of tasks assigned during meetings.

Shareholder Communication:


  • Assist in drafting shareholder communications, including preparing and distributing notices, circulars, and other correspondence.
  • Supporting our teams to communicate with our option holders and employees about the status of their option grants and working through all relevant administrative processes.
  • Maintain accurate and uptodate shareholder registers and records.
  • Assist in the organisation and coordination of general meetings and other shareholder meetings.

Document Management and Administration:


  • Maintain a comprehensive and organised filing system for corporate documents, including board minutes, resolutions, and company registers.
  • Assist with supporting the company's secretarial functions, including working with our compensation and benefits administrator to update our internal and outwardfacing share and option registers, share transfers, and share issuances.

  • Contribute to the enhancement of company secretarial processes and procedures.
