Our Office of the General Counsel team provides a supportive in-house team environment where you will work closely with all areas and levels of the organisation and have the opportunity to utilise technical skills and strategy to advise our internal stakeholders with impactful results.

Here is an overview of the key responsibilities of the team and the role.


Team's Responsibilities

  • The provision of governance advice and support for the Firm's governance and management bodies and for the Firm's companies and trusts in accordance with the Partnership Agreement, ASX governance principles as relevant, external regulatory obligations and PwC Network requirements.

Key role responsibilities

  • Lead governance services, advice and support for the Firm's governance and management bodies (the Governance Board, the Management Leadership Team (MLT) and their respective committees, Australian Representative Partner for the PNG firm) and for the companies and trusts in the PwC Australia group, in accordance with the Partnership Agreement, ASX governance principles as relevant, external regulatory obligations and PwC Network requirements;
  • Lead the strategic delivery of governance advice and support in collaboration with internal stakeholders (including Country Senior Partner (CSP), COO, Chiefs of Staff, Partnership Team, Finance, Risk and Ethics);
  • Lead compliance with PwC Network Governance Standard
  • Lead governance advice and process for recurring and ad hoc governance projects ensuring compliance with the Partnership Agreement and other requirements (internal Board member (EBM) elections, recruitment of external Appointed Board members (ABMs), induction of ABMs and EBMs, partner votes, CSP appointment, Partnership Agreement reviews);
  • Provide overall coordination and oversight of governance matters in the firm and associated work across the 3 streams of governance activities (Governance Board, MLT and companies).
  • Execute formal governance roles:
  • Partnership Secretary, PwC Australia
  • Company secretary of all companies in PwC Australia group
  • PwC Network Standards Governance SME
  • Provide governance advice and support (including attendance at meetings, preparing appropriate minutes etc.) to peak governance bodies
  • Governance Board, Governance Board Public Interest Committee, MLT, PwC Services Board.
  • Develop highly effectice working relationships with Board members and directors.
  • Lead Governance Board, MLT and Companies Secretariat teams Key Stakeholders

Experience and Qualifications

  • Extensive experience in a senior governance role at an ASX listed company or similarly complex environment with a demonstrated track record of enabling effective governance.
  • Qualification as a governance professional or legal practitioner
