Head of Legal and Compliance ANZ - ASX Top 200Greenfields Executive Recruitment & SearchHead of Legal and Compliance - ANZ required for this ASX 200 listed group with operations extending locally and internationally.
This role will report into the Chief Legal & Risk Officer with two direct reports, the Head of Compliance and a Legal Counsel.
The role will be responsible for overseeing all legal matters across the ANZ business, providing strategic legal advice, and ensuring compliance with applicable laws and regulations across multiple jurisdictions.
At the strategic level the role will be required to:
Provide legal support for the strategic and commercial objectives and outcomes across a range of corporate disciplines (including M&A, strategy, contracts, employment, litigation and dispute resolution).
Ensure that relevant issues are elevated and escalated to the Group Chief Legal & Risk Officer in a timeously manner.
Work with the Executive Committee to drive improvement and growth and ensure a best-in-class legal and compliance function.Lead and inspire the ANZ Legal & Compliance team towards a high-performing team culture.
Panel law firms – manage the relationship and brief panel law firms.
Support the Chief Legal & Risk Officer with:
Building and sustaining a highly effective, collaborative team to deliver high quality legal services in a timely manner.
Strategic M&A initiatives, including legal advice and support for M&A transactions in Australia and New Zealand.
Regulatory advice and support in implementing compliance initiatives, including AFSL-related matters.
Legal advice and support in connection with syndicated debt facility arrangements.
Overseeing the compliance function in Australia, including development, update, and implementation of Group policies and procedures.
All equity and debt capital markets transactions.
Annual and half year reporting and ASX continuous disclosure obligations.
Review and negotiation of commercial contracts, including agency agreements, IT contracts, leases and service agreements.
Negotiation and administration of group financing arrangements, shareholders' agreements and employee share plans.
Experience and qualifications needed:
Legal practice experience 10+ years.
Extensive top-tier firm or blue chip corporate legal practice experience, including in corporate & securities law, ASX Listing Rules, corporate governance, M&A, joint ventures, capital markets, commercial contracts and advisory.
