About the role


IPL has an exceptional
opportunity for a lawyer experienced in governance and company secretary responsibilities to join the existing team as Deputy Company Secretary.


Reporting to the Company Secretary, the Deputy Company Secretary will support the Company Secretary in ensuring the high performance of the company secretary function and effective operation of the corporate governance framework and IPL's high performing Board and Committees.


Internal stakeholders include the Board, CEO, Executive Team and externally you will liaise with IPL's share registry, ASIC and other regulators.



The Deputy Company Secretary will be responsible for:

  • driving Board and Committee processes, including preparing agendas and writing and reviewing high quality papers;
- playing a key role in strategic governance and special projects;
- providing high quality advice on a broad range of corporate governance and regulatory matters, and introduce improvements and best practice initiatives;
- managing subsidiary governance and ensuring compliance with statutory and reporting obligations;
- ensuring compliance with the Corporations Act, ASX Listing Rules and other legislation;
- managing delivery of the Annual General Meeting;
- managing the production of the Annual Report;
- managing the interim and final dividend and return of capital programs;
- involvement in supporting ESG and sustainability initiatives and reporting;
- drafting key governance documentation such as the Notice of Meeting, charters and policies;
- ensuring IPL's statutory records are appropriately maintained; and
- providing guidance to, and collaborating with, the Assistant Company Secretary


About you


IPL is seeking a legally qualified professional with previous experience, or a strong interest in, company secretariat and governance issues.


Experience in an ASX listed environment will be highly regarded, though not essential and experience from the Corporate Group of a reputable law firm or unlisted company will be considered. You are highly organised, results focused and have demonstrated ability in delivering quality outcomes to meet business needs within tight deadlines.

You possess strong attention to detail and exceptional communication skills. You are a team player and bring a strong work ethic and a high degree of integrity. A Graduate Diploma of Applied Corporate Governance from the Governance Institute of Australia is desirable.
