The Major Client Group (MCG) is a part of the Business Bank business unit of the Commonwealth Bank. MCG has a team of ~200 staff nationally which support our larger, more complex business bank customers.


This role will support the Major Client Group in the documentation and negotiation of complex transactions including complex loan structures related to mergers & acquisitions, divestments and multi-layered capital structures.


Do work that matters
You will play a key role in the structuring of facility agreements and legal aspects of corporate transactions.

You will work to ensure authorised frameworks and systems are effectively used in the documentation of Corporate Banking transactions to achieve an optimum outcome for the Group.

Responsibilities include but are not limited to

  • Advising and assisting the documentation of deals, particularly for complex transactions
  • Interpreting complex deals and providing input
  • Providing assistance and exercising judgement in files and tasks, as allocated to achieve the Bank's objectives
  • Providing assistance in explaining provisions of various documents to team members
  • Understanding and monitor internal and external developments in relation to Corporate Banking documentation, including ongoing contribution to the development of the Bank's documentation policies and procedures
  • Obtaining legal advice from Legal Department or external counsel (in latter case in accordance with standard procedures), instruct, counsel and negotiate transactions

We're interested in hearing from people who have

  • Solid experience in banking and finance law, with a minimum of 7 years' of post qualification experience gained in either a leading law firm, or inhouse counsel role in the financial services industry
  • A current NSW legal practising certificate (or eligibility to obtain one).
  • An indepth knowledge of corporate banking documentation, including APLMA and/or LMA documentation and other industry standards, Australian loan market terms, finance documentation (including mandate documents, facility agreements, guarantees and security documents)
  • A thorough understanding of risk arising from specific documentation of a wide range of corporate banking products
  • Detailed knowledge of the legal and regulatory issues pertaining to complex corporate finance transactions
  • Ability to conceptualise and contribute to the setting of policies related to corporate banking documentation
  • Ability to communicate effectively with teams and explain complex concepts simply and commercially
  • Experience in, or working with, risk management or credit roles in a large financial institution
