    Description

    Our client is an ASX listed technology business that partners with clients to help improve their technology infrastructure and security.

    Headquartered in Melbourne, this business is looking to recruit for their first General Counsel and Company Secretary.

    Given this is a greenfield role, it presents an exciting opportunity to shape this role in accordance with your skills, vision and the needs of the organisation.

    As a member of the executive leadership team, you will work closely with the CEO, senior management and the Chair to assist in managing the businesses legal, corporate and commercial affairs.

    ResponsibilitiesLead the creation of the in-house legal, compliance and company secretariat function, to promote a sound corporate governance culture to support the business.

    Provide day-to-day general corporate and legal advice for the regulatory, listing, marketing, consumer, data privacy, commercial and compliance aspects of the business.

    Draft and negotiate commercial contracts including IT contracts, IP licences, service agreements, sales and purchase agreements and finance agreements.
    Liaise and manage third party relationships such as external lawyers and existing and potential partners.
    Support M&A initiatives and other business transformation strategies.
    Contribute to the development, review and improvement of policies and the overall corporate governance framework.
    Preparing notices of meetings, agendas and minutes to a high standard, and in a timely manner.
    Your backgroundAdmitted as a Solicitor in Australia or New Zealand.

    Minimum 8 years PAE with significant corporate commercial and technology experience from time spent in both private practice and inhouse.

    Prior listed company experience, and a solid understanding of the Corporations Act and ASX compliance.
    Sound drafting, advisory and analytical skills as well as strong commercial acumen.
    Proficiency in balancing legal risks with commercial outcomes.
    Mature communication skills to ensure successful engagement and maintenance of key internal and external stakeholder relationships.
