Their expertise is in managing the majority of the Group’s board, board committee, subsidiary board and alliance meeting requirements, delivering a service that is second to none!

A permanent full-time opportunity has become available for a Board and Governance Administrator to join the professional Corporate Secretariat team to provide quality, timely, and consistent corporate secretarial support to the Bendigo and Adelaide Bank Board and wider Group.

This is a dynamic and varied role where you’ll add value supporting the Company Secretary team and Board, facilitating the smooth functioning of Board and Committee meetings, attending meetings including taking minutes, preparing draft agendas and preparation, distribution, and publication of meeting papers – ensuring all the logistics have been taken care of, and records and documents are meticulously maintained.

You'll support the Board of Directors with travel arrangements and expense claims, as well as monitor and clear the Company Secretary's inbox, responding appropriately to queries on their behalf easily adopting different styles for the various audiences, and recognise that you are privy to sensitive and confidential information. Additionally you’ll get exposure to corporate administration responsibilities such as preparing and lodging procedural ASX announcements, ASIC forms, as all as maintaining corporate registers.

This role requires flexibility to work hours driven by the Board and Secretariat schedule.

As the Board and Governance Administrator you will:

  • Facilitate Board and Committee meetings
  • Manage the Company Secretary’s diary and inbox, including responding to queries from Directors, the Executive, and business
  • Administer meetings in consultation with the Company Secretary
  • Maintain corporate registers
  • Prepare and lodge procedural ASX announcements, ASIC forms and other regulator correspondence
  • Ensure information in Diligent is current and accurate
  • Manage corporate administration information on the intranet, website, and GEMS (corporate administration system)
  • To be successful in the role, you'll have:

  • A relevant tertiary qualification and Graduate Diploma of Applied Corporate Governance and Risk Management - both are highly desirable
  • Demonstrated previous experience in board administration / company secretarial practice within the finance / banking / legal industries (preferably with an ASX-listed company), or significant experience in a corporate governance role
  • Knowledge and exposure to ASX corporate secretarial governance requirements
  • Be proficient with the Microsoft Office suite and good working knowledge of Diligent and GEMS (desirable)
  • The capacity and desire to work autonomously and as a part of a busy team
  • Strong attention to detail, with outstanding verbal and written communication skills
  • An appreciation for confidential matters and discretion
  • Excellent time management and organisational skills, able to prioritise and meet deadlines for competing tasks
  • Membership of the Governance Institute of Australia (or willingness to attain)
